Plus: Fathom and Neighborhood Intelligence scrap merger

👋 Welcome back to Tuesday.

Today's newsletter is 772 words — a 2.5-minute read. Let’s dive in…

1. Fathom and Neighborhood Intelligence scrap merger

Fathom Holdings and Neighborhood Intelligence, formerly Bed Bath & Beyond, have mutually terminated their planned merger, saying current valuations no longer reflected the fair value of either company for shareholders.

The deal had been shaky for months. Just three days before the merger was publicly announced, Fathom’s board met to consider a proposal to cut the merger consideration by 10%. The companies also explored an alternative deal focused on Neighborhood Intelligence’s digital assets before abandoning that plan.

Both companies will remain independent, while Neighborhood Intelligence will retain its blockchain and digital asset holdings. The companies said they may still collaborate on data sharing, technology and other assets. Fathom will also remain responsible for a roughly $3 million bridge loan from Neighborhood Intelligence that matures in April 2027.

2. Home flipping profits continue to decline

Home flipping profits continued their two-year decline in the second quarter, with the typical flipped home generating a 21.5% gross return, down from 25.7% in Q1 and 27.6% a year earlier, according to an ATTOM report.

There were 77,991 flips, or 6.2% of all home sales, down from 8% in the first quarter and 7.3% a year earlier. Typical gross profit fell to $60,526, from $71,000 a year earlier.

Here are other key takeaways:

  • Texas flippers faced some of the weakest returns among major markets. San Antonio posted a 0.3% loss, while typical returns were just 1.8% in Dallas, 2.8% in Austin and 3.7% in Houston.

  • Dallas also had one of the nation's highest flipping rates at 9.4% of home sales, ranking fourth among major metros.

  • Nationally, flips took an average 161 days from purchase to resale, while homes bought for $100,000 to $200,000 generated the strongest typical returns at 28%.

5. HouseCanary expands Google home listings nationwide

Google is expanding its home-listing search feature to all 50 states, allowing eligible MLS listings to appear directly in mobile search results. The program, launched with HouseCanary, will show property details and give consumers a click-to-contact option. Participating brokers can opt in or out at no cost.

The rollout follows an earlier test that was scaled back over concerns about how HouseCanary accessed MLS data. Google and HouseCanary relaunched the program with MLS and brokerage participation, and the national expansion will include listings only from participating MLSs. Brokers can also establish direct data feeds with their MLS.

The expansion comes as HouseCanary faces significant financial and legal challenges. The company is pursuing more than $260 million from Rocket Close — including a $175 million jury award plus interest and fees — in a long-running trade-secret case, while HouseCanary and five affiliates recently filed for Chapter 11 bankruptcy after defaulting on a $30 million loan. Rocket Close plans to appeal the verdict, and a final judgment has not yet been entered.
